Terms and Conditions

Please read these Terms of Use (“Terms”, “Terms of Use”) carefully before using the https://www.nicheranker.com website and related applications, including our freelance marketplace and hourly livestream tools (collectively, the “Service”) operated by Niche Ranker (“us”, “we”, or “our”).

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, buyers, sellers, and others who access or use the Service.

By accessing or using the Service, creating an account, enabling a seller profile, posting a gig or job, placing an order, hiring a seller on hourly terms, accepting hire terms, starting or continuing a livestream shift, saving a payment card, or submitting payment through any payment processor (including PayPal, Stripe, or any other method we offer), you affirmatively acknowledge that you have read, understood, and agree to be bound by these Terms, including the Subscriptions & Billing, No Refunds, Marketplace, Hourly Livestream Contracts, and Max OBL Links sections below. If you disagree with any part of these Terms, you may not access or use the Service, and you must not complete a purchase or start hourly work.

Our Privacy Policy is incorporated into these Terms. If you do not agree to all of these Terms, you are not authorized to use the Service.

1. Two Businesses, One Agreement

Niche Ranker operates two related lines of business under these Terms:

  • Direct services. SEO, link-building, subscriptions (including Max OBL Links), and other products that Niche Ranker itself sells and fulfills.
  • Freelance marketplace. A platform that lets independent buyers and sellers list gigs, post jobs, submit bids, message each other, complete paid work, and (where enabled) work under hourly livestream contracts. Marketplace sellers are independent contractors. They are not employees, agents, partners, joint venturers, or representatives of Niche Ranker.

Unless a section says it applies only to direct services or only to the marketplace, these Terms apply to the entire Service.

2. Marketplace Intermediary

The marketplace is an online venue that connects buyers and sellers of digital and professional services. Niche Ranker is a marketplace operator and payment intermediary. We are not a party to the contract for work between a buyer and a seller, and we do not ourselves perform marketplace gigs or jobs unless we expressly list a service as a Niche Ranker direct product.

You acknowledge and agree that:

  • We do not perform background checks, identity verification, license checks, or professional credentialing of users.
  • We do not endorse any seller, gig, job, bid, review, or delivered work.
  • We do not guarantee that a seller is qualified, licensed, insured, or authorized to provide legal, tax, accounting, medical, financial, or other regulated services.
  • Any interaction, contract, or dispute between you and another user is solely between those users, except where these Terms give us the right (but not the obligation) to intervene.
  • You use the marketplace and hire or work with other users entirely at your own risk.

Funds paid for marketplace orders are collected by Niche Ranker as merchant of record and released according to these Terms. That hold is platform-controlled. It is not third-party escrow and does not make us a party to the underlying work.

Collecting payment as merchant of record is not a guarantee that we will collect from a buyer, that a seller will be paid, or that we will advance, insure, or make whole any amount. We are not a guarantor, lender, surety, collection agency, or insurer of marketplace or hourly work. Holding, invoicing, or attempting to charge a card does not create a payment obligation from Niche Ranker to a seller.

3. Eligibility and Accounts

You represent and warrant that: (a) you are 18 years of age or older; (b) you have authority to enter into these Terms; (c) your use of the Service does not violate any applicable law; and (d) the information you provide is true, accurate, current, and complete.

You may maintain only one account unless we expressly permit otherwise. You are exclusively responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use. We may suspend or delete an account if we believe you are under 18, provided false information, or otherwise violated these Terms.

4. Intellectual Property of the Service

The Service and its original content, features, and functionality are and will remain the exclusive property of Niche Ranker and its licensors. You may not copy, modify, distribute, or create derivative works from our trademarks, branding, software, or site content except as expressly permitted.

5. Subscriptions & Billing

Certain services offered by Niche Ranker, including but not limited to Max OBL Links and seller subscription plans, are billed on a recurring, month-to-month subscription basis. There is no fixed contract term or minimum commitment period beyond the current monthly billing cycle.

By enrolling in a subscription, you expressly authorize Niche Ranker to automatically charge your chosen payment method (including PayPal) on a recurring monthly basis, at the then-current subscription price, until you cancel. Subscriptions renew automatically at the start of each new billing cycle unless cancelled by you prior to the renewal date.

Continuing your subscription each month is entirely your choice and is done at your own risk and discretion. You are solely responsible for evaluating whether the service continues to meet your needs and for cancelling before the next billing date if you no longer wish to be charged. You may cancel at any time through your account dashboard or by contacting us; cancellation stops future billing but does not entitle you to a refund of any amount already charged, including the current billing period.

6. No Refunds Policy — Niche Ranker Direct Services

This section applies to products and subscriptions that Niche Ranker itself sells and fulfills (including SEO and link-building packages, Max OBL Links, and similar direct services). Marketplace orders are addressed separately below.

All sales and subscription charges for Niche Ranker direct services are final. Niche Ranker does not offer refunds, credits, chargebacks, or reversals of any kind, for any reason, including but not limited to:

  • Dissatisfaction with results, rankings, or timelines;
  • Change of mind, accidental purchase, or failure to cancel before renewal;
  • Partial use, non-use, or discontinued use of the service during a billing period;
  • Cancellation of a subscription mid-cycle (no prorated or partial refunds are issued);
  • Any dispute regarding the value, quality, or performance of SEO/backlink work already delivered or in progress.

By submitting payment, you acknowledge and agree that you are voluntarily purchasing a digital SEO/link-building service that is delivered upon or shortly after purchase, that work and cost are incurred by us immediately upon order placement, and that this strictly no-refund policy is a material, bargained-for condition of the sale. This policy applies regardless of the payment method or payment processor used, including PayPal, and applies to disputes, claims, or chargebacks filed with any payment processor or financial institution.

7. Max OBL Links — Private Network Disclosure

The Max OBL Links subscription grants you a placement on Niche Ranker's private network of websites. As expressly disclosed prior to purchase and on the Max OBL Links product page, the specific URLs, domains, and website identities within the Max OBL Links network are proprietary and confidential and are not shared, disclosed, or revealed to customers under any circumstances. This is a core, disclosed feature of the product (not a defect), designed to preserve the integrity, safety, and long-term ranking value of the network for all subscribers.

By purchasing a Max OBL Links subscription, you acknowledge that: (a) no list of URLs, domain names, or website details will be provided to you at any time, during or after your subscription; (b) the subscription is billed month-to-month as described in the Subscriptions & Billing section above; (c) you choose, at your own risk, whether to continue or cancel the subscription each month; and (d) because the placement, work, and hosting costs are incurred immediately upon each billing cycle, all charges for Max OBL Links are strictly non-refundable, consistent with our No Refunds Policy above.

8. Marketplace Fees

Using the marketplace to browse is free. Completed marketplace sales are subject to the following fees, which we may change with notice.

Fixed-price gigs and jobs (package purchases and bid hires paid at checkout) are subject to:

  • Seller platform fee (deducted from the order price before seller earnings are credited), based on the seller's lifetime freelance earnings at the time of the order: 20% below $100,000; 15% at $100,000 or more.
  • Buyer processing fee of 2.9% plus $0.30 on gig purchases and job hires (not on bid-credit packs). This fee helps cover payment processing and is generally non-refundable.
  • Seller subscription plans (optional): Seller Pro at $29 per month and Seller Elite at $79 per month, billed as described in Subscriptions & Billing.
  • Bid credit packs sold as one-time purchases at the prices shown at checkout.

Fee amounts for fixed-price orders are calculated and locked when the order is created. By listing a gig, bidding on a job, or completing a purchase, you authorize us to deduct applicable fees from the transaction. We may run promotions or absorb discounts from our own fee; that does not change the seller's listed price unless we say otherwise.

Hourly livestream contracts use different fees and are billed as described in Section 12 (Hourly Livestream Contracts), not the 20%/15% seller fee or 2.9% plus $0.30 buyer fee above.

9. Marketplace Orders, Delivery, and Auto-Acceptance

When a buyer purchases a gig package or hires a job bid, the buyer pays Niche Ranker. The order starts in progress. The seller must deliver the work through the Service.

After the seller marks an order delivered, the buyer has three (3) days to accept the delivery or request a revision. If the buyer does not act within that window, the order is automatically accepted, marked complete, and seller earnings become eligible under the payout rules below. Silence is acceptance.

A buyer may request a revision while an order is in the delivered state. Revision requests do not guarantee additional rounds beyond what the package describes, and they do not create a right to cancel or refund. We do not guarantee a buyer- or seller-initiated cancellation path. If we cancel an order, any remedy is solely at our discretion.

You agree that on-platform messages, delivery notes, and uploaded files are the official record of the order. Hourly livestream contracts do not use the three-day delivery / auto-acceptance flow; they are billed under Section 12.

10. Marketplace Refunds, Issues, and Chargebacks

Marketplace purchases are for custom digital services. You agree that a completed or auto-accepted order is final as between you and the other user, except as this section allows. Hourly livestream invoices are also addressed in Section 12.

Any marketplace refund, credit, or cancellation is granted solely at Niche Ranker's discretion. If we issue a remedy, it will typically be a credit to the buyer's Niche Ranker site balance, not a return to the original payment method. Processing fees, bid credits, and seller subscription charges are generally non-refundable.

Filing a chargeback, dispute, or reversal with a bank, card network, PayPal, or other processor for a marketplace, hourly livestream, or direct-service charge is a material breach of these Terms. You agree to first contact us and to use any in-Service issue tools we provide. If a chargeback is filed:

  • We may open an internal review, freeze related funds, and suspend accounts.
  • If the chargeback is decided in our favor, the order and payout may proceed as normal.
  • If we lose the chargeback, we may debit the seller's account (and any pending or future earnings) for the chargeback amount, fees, and related costs. If that creates a negative balance, the seller must repay it before using the Service further.

You waive the right to initiate a chargeback for work that was delivered or accepted (including by auto-acceptance), for tracked hourly time that was recorded on the Service, for change of mind, or for disagreements about quality that you did not raise through the Service during the review window.

11. Seller Payouts

After a fixed-price order is completed (by buyer acceptance or auto-acceptance), seller earnings are credited to an internal ledger and held for a ten (10) day clearance period before they may be withdrawn, subject to review. The current minimum payout is $10. Available methods may include PayPal, Wise, and USDC (ERC-20), and may change.

For hourly livestream contracts, seller earnings are credited only after the related Stripe invoice is marked paid. Unpaid, failed, uncollectible, or disputed invoices do not create a credit. After a successful payment, the same ten (10) day clearance period applies before those earnings may be withdrawn, subject to review.

Payouts are not guaranteed on any particular date. We may delay, withhold, set off, or claw back earnings to cover refunds, chargebacks, fraud, errors, unpaid hourly invoices, or violations of these Terms. You are responsible for providing accurate payout details. We are not liable for funds sent to an incorrect account or wallet that you supplied.

12. Hourly Livestream Contracts

This section applies when a buyer hires a seller under hourly billing with livestream monitoring (an “Hourly Contract”). If this section conflicts with another marketplace section on an Hourly Contract, this section controls.

12.1 Nature of hourly work

An Hourly Contract is an agreement between the buyer and the seller for tracked time at an agreed hourly rate. Niche Ranker provides the venue, time-tracking tools, livestream, stills, recordings, invoicing, and payment processing. We are not the seller's employer or the buyer's staffing agency. We do not supervise, direct, or control how the seller performs the work, other than operating the platform tools described in these Terms and our Privacy Policy.

The seller remains an independent contractor as described in Section 14. Starting a livestream shift, using the desktop agent, or sharing a screen does not create an employment, agency, partnership, or joint-venture relationship with Niche Ranker or with the buyer.

12.2 Agreement by hire, acceptance, and starting a shift

You agree to this Section 12 by any of the following, each of which is an affirmative assent:

  • Buyer. Hiring a seller on hourly terms, saving a payment card for hourly billing, confirming hire terms (including any clickwrap checkbox), or allowing tracked time to accrue on an Hourly Contract.
  • Seller. Enabling a seller profile, accepting hire terms or a terms amendment, checking any required agreement box, starting a livestream shift, continuing a shift after an idle-return prompt, or logging manual hours where the contract allows.

If the buyer edits hire terms, the seller must accept those terms before billable shifts may start. Declining pending hire terms cancels that order with nothing charged. A later amendment does not change current terms until the seller accepts it.

12.3 Rates and fees

Hourly rates are set in the hire terms, currently within a platform range of five U.S. dollars (US $5) to five hundred U.S. dollars (US $500) per hour. Time is billed per active second at that rate (billable seconds × rate ÷ 3,600).

Unless we publish a different rate with notice:

  • The buyer fee is five percent (5%) of the billable amount. The buyer pays billable amount plus that fee.
  • The seller fee is fifteen percent (15%) of the billable amount, or ten percent (10%) once the seller's lifetime freelance earnings are one hundred thousand U.S. dollars (US $100,000) or more. Seller take-home is the billable amount minus the seller fee.

Example: at US $50 per billed hour, the buyer pays US $52.50 and the seller's take-home is US $42.50 at the 15% seller fee. Fees may change with notice. Promotions do not create a vested right to a lower fee on later invoices.

12.4 What is billed

Only tracked active time is billed. Idle time (by default, ten (10) or more minutes with no mouse or keyboard activity) is recorded but not billed unless the seller later elects to bill that idle gap. That election is an honor system. The seller represents that they will bill idle gaps only for time they actually spent working for the buyer.

Manual hours may be logged only if the Hourly Contract allows them, in the increments the Service permits. Paused time (buyer pause, billing pause, tray pause, or weekly-cap pause) is not active and is not billed.

The seller may reduce unbilled time before it is included on an invoice, including by marking tracked active intervals as non-billable or deleting unbilled manual hours. Time already included on a finalized or paid invoice cannot be reduced through the Service. Successfully charged invoices remain final as described in Section 12.11.

The buyer is billed for tracked active time whether or not the buyer watches the livestream. If the seller never starts a shift, nothing is billed. Screen sharing is required to start a tracked shift; time is not billed as active until the Service records an active interval.

12.5 When charges occur; card authorization

Hourly Contracts have no upfront checkout for the work itself. The buyer must keep a valid saved payment card on file. By hiring on hourly terms or saving a card for hourly billing, the buyer expressly authorizes Niche Ranker and our payment processor (currently Stripe) to automatically charge that card, and any backup cards on file, for tracked active time plus applicable fees, without a further checkout click for each invoice.

Charges currently fire in two ways, which we may adjust with notice:

  • Threshold invoices. While the contract is working and the buyer is not past due, we may charge when unbilled billable amount is at least the greater of three hundred U.S. dollars (US $300) or ten (10) hours at the contract rate.
  • Weekly sweep. We may charge remaining unbilled amounts from the prior week (currently on Monday at 00:00 UTC). For still-live contracts, leftovers below ten U.S. dollars (US $10) may roll forward; ended contracts may be billed for any leftover greater than zero.

Invoices are typically collected automatically. The buyer agrees that a charge for recorded active time is authorized even if the buyer did not receive, open, or review a timesheet before the charge.

12.6 Buyer payment obligations

The buyer is solely responsible for paying every hourly invoice for tracked active time plus the buyer fee on that buyer's Hourly Contracts. That obligation survives pause, cap, termination of a shift, termination of the contract, and termination of the buyer's account.

The buyer must keep a valid card on file and update it immediately if a charge fails. A weekly spend cap, if set, pauses new shifts when reached; it does not forgive, reverse, or cap invoices for time already recorded. A buyer pause stops new shifts; already recorded active time still invoices.

Failure to pay is a material breach. We may retry the card, pause all of the buyer's working Hourly Contracts, block new shifts and new hourly hires, suspend or terminate the account, and pursue the unpaid amount, including collection costs to the extent permitted by law.

12.7 Unpaid invoices — Niche Ranker is not liable to the seller

Payment to the seller for hourly work is contingent on successful collection from the buyer. Seller earnings are credited only after the related invoice is marked paid by the payment processor.

If a charge fails, the invoice is uncollectible, the card is declined, or the buyer is otherwise past due:

  • The buyer's hourly billing status may be set past due;
  • Working Hourly Contracts may be paused for billing, and open shifts ended;
  • New shifts and new hourly hires may be blocked until the hold clears;
  • The seller is notified to stop work.

Niche Ranker's liability to the seller for unpaid, failed, uncollectible, charged-back, or otherwise uncollected hourly time is zero U.S. dollars (US $0). The seller is not entitled to payment from Niche Ranker for that time. We have no obligation to advance funds, guarantee collection, insure the seller against buyer default, pay the seller out of pocket, or make the seller whole. Any attempt we make to retry a card or collect from the buyer is entirely discretionary and does not create a duty to the seller.

Recorded time that is never successfully charged is not payable by the platform. The seller assumes the risk of buyer non-payment and agrees that continuing or starting work after a billing pause, past-due notice, or failed-payment notice is at the seller's sole risk.

This Section 12.7 is a material, bargained-for allocation of risk. Sellers would not be permitted to use Hourly Contracts without it.

12.8 Chargebacks and clawbacks

A buyer chargeback, dispute, or reversal of an hourly charge is a material breach, as described in Section 10. In addition, for Hourly Contracts we may freeze earnings that are not yet available, reverse credits already posted, debit available or future earnings, and trip a billing hold on the buyer.

If we lose a chargeback or must refund an hourly invoice, we may claw back the related seller take-home, fees, and processor costs. If that creates a negative seller balance, the seller must repay it before using the Service further. If the seller already withdrew the funds, the seller remains indebted to Niche Ranker for the clawback amount. We have no duty to absorb that loss for the seller.

12.9 Screen sharing, recordings, and monitoring

Tracked hourly shifts require screen sharing to start. By accepting hire terms and starting a shift, the seller consents to, and the buyer acknowledges:

  • Live stream. The buyer may watch the seller's shared display (and system audio where captured) in real time. The seller does not receive a corresponding live viewer of the buyer.
  • Stills. Periodic screenshots may be captured during active billed time at the interval in the hire terms (including off). The buyer and the seller on that order may view stills.
  • Shift recordings. Tracked shifts may be recorded and stored. Recordings are made available to the buyer on that order, not to the seller.
  • Activity monitoring. The Service may count mouse and keyboard events to distinguish active from idle time. We do not capture key contents, clipboard contents, or browsing history as such, but anything visible on the shared display may appear in the live stream, stills, or recordings.

The seller represents and warrants that they will share only displays they are authorized to share, will not expose third-party confidential information, child sexual abuse material, or other unlawful content, and will configure their workspace accordingly. Monitoring details, retention, and processors are described in our Privacy Policy, which is incorporated here.

12.10 Disconnects, no-shows, and quality

If a session heartbeat goes stale (currently more than three (3) minutes), the Service may auto-end the session. Only flushed active intervals remain billable. A mid-shift disconnect or stopped screen share may stop new billable intervals until sharing resumes.

We do not operate a dedicated hourly quality, no-show, or refund workflow. Disputes about whether idle time should have been billed, whether the seller was working, or whether the work met the buyer's expectations are between the buyer and the seller. We may (but are not obligated to) review stills, recordings, timesheets, or messages. We do not guarantee any particular outcome of that review.

12.11 No refunds for billed hourly time

Successfully charged hourly invoices are final, except for a remedy granted solely at Niche Ranker's discretion. There is no right to a refund because the buyer did not watch, was dissatisfied with quality, changed their mind, paused the contract, hit a weekly cap, or because we later disabled new hourly shifts. If we turn hourly features off, hours already recorded still invoice.

Processing fees on hourly invoices are generally non-refundable. Any discretionary remedy, if issued, will typically be site credit, not a return to the original payment method.

13. Bid Credits

Sellers may spend bid credits to submit proposals on jobs. A seller invited to a job by the buyer does not spend credits on the base proposal; featuring or highlighting a proposal still costs credits. Purchased bid-credit packs are generally non-refundable. Withdrawing a bid does not restore the credits spent on that bid. Credits returned when a job is cancelled or expires without a hire, if any, are provided as a platform feature and are not a cash refund. Unused monthly plan credits do not roll over unless we expressly say they do.

14. Independent Contractors and Taxes

Sellers are independent contractors operating their own businesses. Nothing in these Terms creates an employment, agency, partnership, or joint-venture relationship between Niche Ranker and any user, or between Niche Ranker and the other party to a marketplace order. Starting or continuing an hourly livestream shift, using a desktop agent, sharing a screen, or being monitored for billing does not change that status and does not make the seller our employee or the buyer's employee.

Sellers are solely responsible for all taxes, licenses, permits, insurance, and reporting arising from their activity, including any Form 1099 or equivalent we may issue where required. Buyers are solely responsible for their own tax and contractor-classification obligations when hiring sellers. We do not withhold income tax or provide employee benefits, unemployment, or workers' compensation.

15. Delivered Work and User Content

Unless the buyer and seller agree otherwise in writing on the Service, the buyer receives rights in the delivered work product only after the order is completed and paid in full. The seller represents and warrants that they own or have all rights needed to deliver the work and to grant those rights, and that the work does not infringe any third-party intellectual property, privacy, or other right.

You retain ownership of content you upload (gigs, jobs, bids, messages, reviews, profiles, images, videos, delivery files, livestream stills, and shift recordings you originate). By uploading or transmitting that content, you grant Niche Ranker a perpetual, worldwide, royalty-free, irrevocable license to host, use, reproduce, modify, display, distribute, and create derivative works from it for operating, improving, and marketing the Service, including billing, timesheets, and dispute review.

We may approve, reject, edit, or remove gigs, jobs, messages, reviews, or other content at our sole discretion, including for quality, policy, legal, or reputational reasons. Gig approval is not an endorsement and does not waive any of our rights.

16. Stay on the Platform

All communication, contracting, and payment for work that originates on the Service must stay on the Service. You may not:

  • Ask or offer to pay or get paid off-platform for work first connected through Niche Ranker;
  • Share or solicit personal contact information for the purpose of circumventing the Service;
  • Complete a sale that began on the Service outside of our checkout or hourly invoicing.

Off-platform deals void any buyer or seller protection we may otherwise provide and are grounds for immediate account termination. We may review messages for circumvention.

17. Prohibited Conduct

You will not, and will not help others to:

  • Violate any law or third-party right;
  • Offer or request illegal, fraudulent, or clearly harmful services;
  • Post malware, scrape the Service without permission, or interfere with our systems;
  • Manipulate reviews, ratings, or seller levels;
  • Harass, threaten, or impersonate anyone;
  • Use the Service for spam, deceptive SEO schemes that violate search-engine or advertising rules, or undisclosed paid endorsements in violation of FTC or similar rules;
  • Misuse data obtained from other users;
  • Falsely reclassify idle time as billable, share a screen you are not authorized to share, or interfere with time-tracking, heartbeats, or monitoring.

We may refuse service, remove content, cancel orders, forfeit earnings, and report conduct to authorities.

18. SEO, Link-Building, and Results Disclaimer

Search-engine rankings, traffic, and related results depend on factors we and marketplace sellers do not control. We do not guarantee rankings, traffic, revenue, or any particular outcome for Niche Ranker direct services or for marketplace work.

Search engines may penalize, filter, or ignore links, content, or tactics. Buyers and sellers are solely responsible for deciding whether a service complies with search-engine guidelines, advertising rules, and disclosure laws. Niche Ranker is not liable for penalties, lost rankings, or lost business arising from services purchased on or through the Service.

19. Regulated and Professional Services

Some marketplace categories may include legal, tax, accounting, finance, or other work that can require a license. We do not verify licenses and we do not provide professional advice. Work purchased from a seller is that seller's work, not advice from Niche Ranker. You are responsible for confirming that a seller is authorized to perform the work you request and for complying with local law.

20. Seller Obligations

If you enable a seller profile, you agree to provide accurate profile information; deliver the service you listed; communicate professionally through the Service; meet stated delivery times or promptly update the buyer; honor the package, bid, or Hourly Contract you sold; stop work when a billing pause or past-due notice is issued; and follow these Terms and any seller guidelines we publish. We may hide, suspend, or remove sellers and gigs at any time.

21. Links to Other Websites

Our Service may contain links to third-party web sites or services that are not owned or controlled by Niche Ranker. Niche Ranker has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services.

You further acknowledge and agree that Niche Ranker shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such web sites or services.

We strongly advise you to read the terms and conditions and privacy policies of any third-party web sites or services that you visit.

22. Disclaimer of Warranties

Your use of the Service is at your sole risk. The Service is provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, title, or course of performance.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any seller, listing, message, delivered work, livestream, timesheet, or invoice will meet your requirements or be accurate, lawful, or non-infringing. We do not warrant that we will collect any hourly invoice from a buyer or that a seller will be paid for tracked time.

23. Limitation of Liability

To the maximum extent permitted by law, Niche Ranker and its owners, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunity, arising out of the Service, marketplace transactions, Hourly Contracts, unpaid invoices, user content, livestreams, recordings, or the conduct of other users, even if we have been advised of the possibility of such damages.

Our total liability to you for all claims arising out of these Terms or the Service will not exceed the greater of (a) one hundred U.S. dollars (US $100) or (b) the fees you paid to Niche Ranker (excluding amounts passed through to sellers) in the twelve (12) months before the claim. For a claim arising from a specific marketplace order, our liability will not exceed the platform fee we actually retained on that order.

For any claim by a seller arising from uncollected, unpaid, failed, uncollectible, disputed, or charged-back hourly time, or from our refusal or failure to credit, advance, or pay that time, Niche Ranker's liability is zero U.S. dollars (US $0) — not the one-hundred-dollar or trailing-fee cap above. That allocation of risk is essential to our offering Hourly Contracts.

Some jurisdictions do not allow certain limitations. If those laws apply to you, some of the above limits may not apply, but they apply to the fullest extent permitted.

24. Indemnification

You agree to indemnify, defend, and hold harmless Niche Ranker and its owners, officers, employees, and agents from and against all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your gigs, jobs, bids, messages, reviews, delivered work, livestreams, stills, recordings, or screen contents; (c) your violation of these Terms or any law; (d) your infringement of a third-party right; (e) any dispute between you and another user, including unpaid hourly invoices and quality or idle-billing disputes; (f) any claim that a seller is our employee or agent, or the buyer's employee or agent; (g) taxes or employment-classification claims related to your marketplace or hourly activity; and (h) any claim by a seller that Niche Ranker is liable to pay for hourly work the buyer did not pay.

We may assume exclusive control of any matter subject to indemnification. You will cooperate and will not settle any claim that imposes an obligation on us without our prior written consent.

25. Termination

We may terminate or suspend access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. We may cancel pending orders, withhold or forfeit earnings, pause Hourly Contracts, and disable payouts in connection with a termination for cause.

You are not entitled to a refund of fees, unused bid credits, or subscription charges if we terminate your account for cause. Buyer payment obligations for already recorded hourly time survive termination. All provisions that by their nature should survive termination will survive, including ownership, payment obligations, unpaid-invoice risk allocation, warranty disclaimers, indemnity, and limitations of liability.

26. Governing Law and Arbitration

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles. If you access the Service from outside the United States, you are responsible for compliance with local law.

Except for claims that qualify for small-claims court and either party's right to seek temporary or injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information, any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered under the Commercial Arbitration Rules of the American Arbitration Association by a single arbitrator. The seat of arbitration will be Sheridan, Sheridan County, Wyoming. Judgment on the award may be entered in any court of competent jurisdiction.

You and Niche Ranker waive any right to a jury trial and to participate in a class, collective, or representative action. Claims must be brought in an individual capacity only.

Our failure to enforce any right will not be a waiver. If any provision is held invalid, the remaining provisions remain in effect. These Terms are the entire agreement between you and us regarding the Service and supersede prior agreements regarding the Service.

27. Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
